Call for Prequalification by the Société des Infrastructures de Réparation Navale (SIRN) for a 20-year Public-Private Partnership Contract for the Takeover, Rehabilitation, Financing, Operation, and Maintenance of Dakar’s Shipyards

DSPQ No. CP 01/2025

1. The SOCIETE DES INFRASTRUCTURES DE REPARATION NAVALE (SIRN) is soliciting sealed bids from eligible candidates meeting the required qualifications for procedure No. CP 01/2025 regarding the public-private partnership contract for the takeover, rehabilitation, financing, operation, and maintenance of Dakar’s shipyards, hereinafter the “Contract.”

2. This Contract falls within the framework of the public service mission of naval repair at Dakar’s shipyards. The main missions expected from the private partner are:

i. Take over the existing naval repair yards in Dakar and ensure continuity of public service until the rehabilitation works are operational;

ii. Finance and rehabilitate the infrastructure made available by the Contracting Authority and ensure their operation and maintenance, as well as major maintenance and renewal;

iii. Finance and rehabilitate the existing training center, and provide technical assistance for the center’s management and ensure the maintenance and upkeep of installations and equipment; and

iv. Contribute to the development of the naval repair sector.

3. The Contract award will be conducted through an international open tender in a single stage preceded by a prequalification as defined in Law No. 2021-23 of March 02, 2021, relating to public-private partnership contracts, and open to all eligible candidates in accordance with Articles 49 and 55 of the implementing decree of said law.

4. The Contract corresponds to a user-paid PPP contract within the meaning of the aforementioned law. The Contract duration is twenty (20) years.

6. The qualification requirements for a candidate are as follows:

i. Have proven general experience of at least fifteen (15) years in the management, operation, and maintenance of ship repair yards.

ii. Have successful specific experience during the last twenty (20) years (i.e., from January 1, 2004):

a) in the takeover, management, or operation of a ship repair activity or an activity of similar complexity in terms of services offered, clients, suppliers, workforce size, business volume (takeover experience will be considered an advantage);

b) in the preparation, coordination, financing mobilization as well as execution and monitoring of construction, rehabilitation, or renovation of i) infrastructure projects, particularly naval repair or ii) infrastructure with similar complexity;

c) in implementing service regulations and pricing models in naval repair, including a modern remote-accessible reporting and control system with performance monitoring dashboards;

d) in obtaining and/or maintaining quality & management certifications, compliance with maritime, environmental and social standards, and others, and managing an environmental and social management plan;

e) in investment, infrastructure management, or PPP contract outside their tax residence (location in Africa or similar markets will be considered an advantage);

f) in implementing and executing local content plans including training programs, capacity development, and skills transfer in naval repair or sectors with similar needs;

g) in arranging financing for similar needs;

h) in implementing an Information System for contract monitoring.

For each experience, the candidate must specify their exact position/role and indicate whether they operated as the main company, as a member of a group, as a systems integrator, or as a subcontractor.

Experiences must be justified by appropriate evidence (contract award or execution certificates, certificates of good execution, provisional or final acceptance reports, customer satisfaction survey results, certificates of certifications obtained, etc.) or any other relevant document.

A project is considered similar when it involves one of the following aspects:

  • Construction, rehabilitation, or operation of a major ship repair yard with a ship grounding capacity greater than twenty-five (25) meters.
  • Technical operation of a shipyard, or maintenance of ship repair infrastructure handling/treating an average of more than one hundred (100) ships per year; and/or
  • Management of commercial operations of a company specialized in naval repair with more than two hundred (200) people.

iii. Have a certificate of financial capacity of at least fifteen billion (15,000,000,000) CFA francs demonstrating the candidate’s ability to mobilize the necessary financing for executing the missions included in the scope of this Call for Applications.

The certificate of financial capacity provided by Candidates must conform to the model presented in the Application Forms. It must be denominated in CFA francs or freely convertible currency for the amount specified above.

The certificate of financial capacity to be provided by Candidates must come from financial institutions approved by the Ministry of Finance and Budget (MFB) of Senegal. Those issued by foreign banks must come from their local correspondent, which will also be a financial institution approved by the Ministry of Finance and Budget (MFB) of Senegal.

iv. Have, over the period from 2019 to 2023, an average annual turnover of a minimum amount of fifteen billion (15,000,000,000) CFA francs.

v. Provide for the five (5) years covering the period from 2019 to 2023:

a) financial statements certified by an accounting firm approved by ONECCA, or duly filed with the tax administration of the candidate’s country (with the receipt stamp of said administration serving as proof); If this is not required by the regulations of the Bidder’s country of tax residence, provide any other financial statements acceptable to the Contracting Authority for the five (5) years covering the period from 2019 to 2023.

b) an Excel file faithfully reproducing in a table the items extracted from the financial statements following the model presented in the Application Forms.

c) a financial analysis note, for the period from 2019 to 2023, presenting the candidate’s financial health and the evolution of their ratios below:

      1. Average Gross Operating Surplus (GOS) or EBITDA;
      2. Gearing (Financial Debt / Equity);
      3. Average liquidity ratio (Current Assets / Current Liabilities);
      4. Average debt ratio (Total Financial Debt / GOS or EBITDA);
      5. Any other financial indicator deemed relevant by the Candidate.

vi. Have an experienced team to provide the necessary support of a sponsor to meet the various challenges of each Contract mission;

vii. Have a network of partners and suppliers capable of meeting the expectations of major ship repair clients.
